Terms and Conditions

IndieVisual, a brand of High Giraffe Media Private Limited

Last updated: 25 September 2026

  1. About these Terms

1.1.

These Terms and Conditions ("Terms") govern the use of www.indievisual.in (the "Website") and the purchase of any video production service from IndieVisual. IndieVisual is a brand owned and operated by High Giraffe Media Private Limited, a company incorporated under the Companies Act, 2013 (CIN U22300DL2021PTC384737), with its registered office at B1/H3, Ground Floor, Mathura Road, Mohan Co-operative Industrial Area, New Delhi 110044 ("IndieVisual", "we", "us" or "our").

1.2.

"Client" means any person or organisation that purchases a package, commissions a project, or otherwise engages us for services. "User" means anyone who visits or uses the Website. A person accepting these Terms on behalf of an organisation confirms that they have authority to bind that organisation.

1.3.

By using the Website, submitting a brief, confirming a proposal, or making a payment, the Client and User accept these Terms, our Refund and Cancellation Policy, our Delivery Policy and our Privacy Policy, each of which forms part of these Terms.

1.4.

Where a Client has signed a separate service contract, master services agreement or statement of work with us (a "Signed Agreement"), the Signed Agreement prevails over these Terms to the extent of any conflict. These Terms apply to everything the Signed Agreement does not cover.

  1. Our Services

2.1.

We produce videos end to end, including concept development, scripting, storyboarding, shoots, animation, AI video, editing, motion graphics, voiceovers, subtitles, sound and delivery (the "Services"). The finished videos and other materials we produce for a Client are the "Deliverables".

2.2.

We produce work with our in-house team and a network of independent creative professionals, crews and specialist vendors engaged and managed by us.

2.3.

We create exclusive content for each Client based on the scope agreed for that engagement. Work outside the agreed scope is quoted and billed separately.

  1. How Engagements are Priced

3.1.

Packages. Packages listed on the Website carry a fixed price, a defined scope, a stated number of revision rounds and an indicative timeline. The price, scope and inclusions shown on the package page at the time of payment apply to that purchase.

3.2.

Brief-based projects. Productions that fall outside a listed package, including multi-day shoots, multi-city work, ad films and campaigns, are priced against the Client's brief. We share a written production proposal setting out the scope, Deliverables, timeline, fees and payment milestones. A proposal is valid for the period stated on it, and the scope and fees become binding once the Client confirms the proposal in writing or pays the advance.

3.3.

Retainers, subscriptions and rate cards. Ongoing engagements priced per finished video or on a monthly commitment follow the rate card and terms set out in the Signed Agreement or proforma invoice for that engagement.

3.4.

Taxes. All prices are in Indian Rupees and exclusive of Goods and Services Tax (GST) unless stated otherwise. GST at the applicable rate (currently 18%) is charged on every invoice, over and above the stated price.

3.5.

Costs outside the fee. Unless included in the package or proposal, the following are billed at actuals with prior approval from the Client: travel and stay for shoots outside the city of production, location and permit fees, talent and model fees, licensed stock footage or music beyond what is included, and overtime caused by changes the Client makes on the shoot day.

  1. Payment Terms

4.1.

Packages are payable in full at the time of purchase through the payment options available on the Website.

4.2.

Brief-based projects are payable in the following milestones unless the proposal states otherwise:

  • 50% of the fee, plus GST, as an advance before the project starts. The advance secures the booking and covers upfront and pre-production costs, and is adjusted against the final invoice.

  • 25% of the fee, plus GST, on sharing the first cut.

  • The balance 25% of the fee, plus GST, before final delivery.

Brief-based AI or animation-based projects are payable in the following milestones unless the proposal states otherwise:

  • 50% of the fee, plus GST, as an advance before the project starts. The advance secures the booking and covers upfront and pre-production costs, and is adjusted against the final invoice.

  • The balance 50% of the fee, plus GST, before final delivery.

4.3.

Payments can be made online through our payment gateway partner or by bank transfer to the account named on our invoice. We do not store card or net banking details. These are entered on, and processed by, our payment gateway partner's secure pages.

4.4.

Clients deducting tax at source may deduct TDS at the rate applicable under the Income-tax Act, 1961 and must share the TDS certificate within the statutory timeline.

4.5.

Invoices are payable on presentation. Payments received late attract a late fee calculated from the invoice date as follows:

Days from invoice date

Late fee

0 to 15 days

Nil

16 to 30 days

₹400 per day

31 days onwards

₹1,000 per day

4.6.

We may pause work, hold Deliverables or withhold final files until all invoices due are paid in full.

  1. Revisions

5.1.

Each package or proposal states the number of revision rounds included. Where it does not, two rounds of revisions are included per Deliverable, delivered within a reasonable timeframe agreed with the Client.

5.2.

A revision round is one consolidated set of feedback on a cut. Feedback shared in multiple instalments on the same cut counts as a single round only when shared together.

5.3.

Revisions beyond the included rounds are chargeable at ₹2,000 per editing iteration and ₹5,000 per animation iteration, unless the proposal states different rates.

5.4.

Changes to an approved script, storyboard or brief, or requests that need reshoots or new animation, are treated as a change in scope and quoted separately.

  1. Client Responsibilities

6.1.

The Client will share an accurate brief, brand guidelines and any materials we need, and nominate a point of contact authorised to give feedback and approvals.

6.2.

The Client confirms that it owns or has licensed all logos, trademarks, footage, music, images, product information and other materials it provides to us ("Client Materials"), and that our use of them for the project does not infringe any third party's rights.

6.3.

The Client is responsible for the accuracy of all claims, statistics and regulatory disclosures in its content, including claims subject to sector regulation such as health, pharmaceutical, financial or advertising codes.

6.4.

For shoots at Client premises, the Client will arrange access, permissions, safety inductions and the availability of on-camera participants on the agreed dates. Where Client employees or associates appear on camera, the Client will obtain their consent for filming and for the intended use of the footage. For talent we cast, we obtain the necessary releases.

  1. Timelines, Approvals and Acceptance

7.1.

Timelines in a package or proposal are indicative and start once we receive the advance and all required Client Materials. Delays in feedback, approvals, access or materials extend the timeline accordingly.

7.2.

We move from each stage to the next (script, storyboard, shoot or production, edit) only after the Client approves the preceding stage. Approval by email or through our review system counts as written approval.

7.3.

If the Client does not share feedback on a cut within 5 working days of receiving it, that cut is treated as approved, and the corresponding milestone becomes payable.

  1. Cancellation, Rescheduling and Refunds

Cancellation, rescheduling and refunds are governed by our Refund and Cancellation Policy, available at www.indievisual.in/refund-policy/.

  1. Intellectual Property

9.1.

Deliverables. On completion of the project and receipt of the full fee, all rights, title and interest in the Deliverables transfer to the Client. Until full payment, we retain all rights in the Deliverables and the work in progress.

9.2.

Pre-existing material. Where we incorporate material that existed before the project, whether owned by us or a third party, we grant the Client a perpetual, worldwide, royalty-free, non-exclusive and sub-licensable licence to use, reproduce, modify and distribute that material as part of the Deliverables.

9.3.

Licensed assets. Stock footage, music, fonts and similar assets are licensed on their providers' terms. Any usage limits on these assets (duration, territory, media) are specified in the proposal.

9.4.

Raw footage and project files. Deliverables consist of the final rendered files in the agreed formats. Raw footage and editable project files are shared only when the package or proposal includes them.

9.5.

Portfolio use. We may show the Deliverables and the Client's name and logo in our portfolio, case studies and credentials after the Client has publicly released the work, unless the Client asks us in writing not to, or a Signed Agreement says otherwise.

9.6.

Website content. All content on the Website, including text, graphics, logos, videos and design, belongs to IndieVisual or its licensors and may not be reproduced, modified or distributed without our written consent.

  1. AI-assisted Production

10.1.

Some Services use generative AI tools for visuals, voice, music or post-production. Where a Deliverable is produced wholly or largely with AI, we say so in the proposal.

10.2.

AI outputs are reviewed, edited and finished by our team before delivery. The legal position on intellectual property in AI-generated material is still developing in India and elsewhere. We warrant that we have the right to use the tools we use for commercial work, and we do not warrant that every element of an AI-generated output is capable of copyright protection.

10.3.

We do not create likenesses of real, identifiable people with AI unless the Client provides documented consent from that person.

10.4.

We keep each Client's materials separate and do not share one Client's brand materials or production history with another Client.

  1. Confidentiality

11.1.

Each party will keep confidential all information the other designates as confidential, use it only for the engagement, and take reasonable care to prevent its unauthorised use or disclosure. Each party is responsible for its representatives and anyone it shares such information with.

11.2.

This obligation does not apply to information that was independently developed, was already known to the receiving party, is or becomes public other than through the receiving party, or must be disclosed to affiliates in required reports, under a summons or in litigation, or under any law, order or regulation. Where disclosure is required, the receiving party will notify the other promptly where practicable so that it can respond.

11.3.

This clause survives the end of the engagement.

  1. Non-solicitation

During an engagement and for two years after it ends, the Client will not directly solicit the employment or services of any contributor, content provider or subcontractor engaged by us for that engagement.

  1. Warranties and Disclaimers

13.1.

Each party confirms that it has the authority to enter into the engagement, holds the licences and approvals it needs to perform it, and that performing it does not breach any contract, law or third-party right.

13.2.

We perform the Services with reasonable skill and care. Creative work involves subjective judgement, and we do not guarantee any particular business, marketing or audience outcome from the Deliverables.

13.3.

The Website is provided "as is" and "as available". We do not warrant that it will be uninterrupted or error-free.

  1. Indemnity

Each party will indemnify the other, and its officers, employees and agents, against direct losses, damages, costs and expenses (including settlement costs) arising from any third-party claim caused by its unlawful or negligent act or omission in connection with the engagement, its breach of these Terms, its infringement of any intellectual property right, or its breach of confidentiality.

  1. Limitation of Liability

15.1.

Neither party is liable for any indirect, incidental, consequential, special, punitive or exemplary damages, including loss of profits, business interruption or loss of information, even if advised of the possibility of such damages.

15.2.

Except as stated otherwise in these Terms, our total liability in connection with any engagement, whether in contract, tort or otherwise, is limited to the fees paid by the Client for that engagement.

  1. Force Majeure

Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, including natural disasters, extreme weather, epidemics, government orders, civil unrest, strikes or failures of utilities and networks. Shoot dates affected by such events will be rescheduled by mutual agreement, and third-party costs already incurred remain payable. [CONFIRM: new clause, not in the standard corporate agreement.]

  1. Use of the Website

17.1.

Users must not use the Website for any unlawful purpose, attempt to gain unauthorised access to it, or do anything that could damage, disable or overburden it.

17.2.

The Website may link to third-party websites. We do not endorse and are not responsible for their content, products or services.

  1. Governing Law and Disputes

18.1.

These Terms are governed by the laws of India.

18.2.

The parties will first try to resolve any dispute through good-faith negotiation. Disputes not resolved this way fall under the exclusive jurisdiction of the courts of New Delhi.

  1. General

19.1.

Changes. We may update these Terms from time to time. The version published on the Website at the time of purchase or confirmation applies to that engagement.

19.2.

Assignment. Neither party may assign or subcontract its rights or obligations under an engagement without the other's prior written consent, other than our engagement of our creative network and vendors under clause 2.2.

19.3.

Severability. If any provision is found illegal or unenforceable, it is treated as deleted and the rest continues in force. The parties will negotiate in good faith to agree an acceptable replacement.

19.4.

Waiver. Silence or inaction by either party on a breach does not waive that breach or prevent later action on it.

19.5.

Survival. Provisions that by their nature apply after an engagement ends, including those on payment, intellectual property, confidentiality, non-solicitation, indemnity and limitation of liability, survive.

19.6.

Notices. Notices may be delivered by hand, courier, registered post or email to the addresses below, and are treated as received on delivery by hand, on the third business day after courier dispatch, on the seventh business day after registered posting, or on delivery of the email.
